Drafting IT Contracts from a Legal Perspective

March 31, 2011

Drafting IT contracts isn’t the first thing a lawyer is taught in law school.

In reality, most lawyers don’t learn how to draft this sort of specialized contract in formal classroom sessions. Most of them just adapt over time, taking a piecemeal approach. They often end up reusing ideas and wording from old contracts that lend themselves well to the specific need. But this can be somewhat of an issue given the complexity being added by developing technology trends.

Technology and law are codependent factors in any software company. Your operation must give the utmost attention to having well-written contracts. This is simply a competent operational management decision; don’t leave your company in legal limbo.

Legal contracts are an unavoidable aspect of doing business. You will undoubtedly encounter them. And when you do, make sure your legal team is able to produce the necessary paperwork to protect your assets. For more on this topic, watch the video from OpenView Labs featuring Jeremy Aber.
